Capital Market Strategy
Our investment thesis is to consolidate a group of standalone private market businesses into a vertically integrated system and deliver these products and services to the employee ownership market via a digital platform. Ensuring employees share in the future success and wealth of their companies.

We have three investment options available:

Valloop Seed Round Extension. £5m (Closed)
Participating Preference Shares in Valloop. Target now achieved.
Purpose: To open £500m of SME private credit partnerships, to be deployed into SME transitions via the Valloop Exchange platform.
And deploy over £40bn of offered capacity, from the global insurance market, to support Valloop’s ability to guarantee seller loan notes.

Valloop AI Co Convertible Note. £15m (Now Open)
Loan capital to Valloop’s AI company (wholly owned subsidiary of Valloop Holdings Ltd which houses its AI capabilities), convertible to equity.
Purpose: To invest in Valloop’s AI company, dedicated to performance psychology of SME leadership teams. Analysing team cohesion, vision, skills, alignment, empathy and trust.
Valloop is looking to expand this unique and proprietary AI programme to other aspects of human assessment and to develop financial and impact performance predictions. Valloop Holdings Ltd provides the first client use-case, but our AI will serve the wider market outside of SME transitions to employees.

Valloop SAFE Note . £15m (Now Open)
Purpose: Scale Up – To deposit regulatory capital into the regulated Valloop Insurance Captive for SME deferred consideration insurance, to continue to develop Valloop Exchange platform and AI capabilities for its expansion across USA, Canada, Europe and Australia.
